외국인 투자는 한미 양국의 경제 관계에 갈수록 중요한 요소가 되고 있다. 과거 10년 동안에 한미 외국인 직접투자 부문이 취득원가의 물가연동제 기준 가치로 따져 엄청나게 증가했는데 그 까닭은 남한이 1997년 금융 위기 이후에 단행한 시장 중심 개혁의 적잖은 공헌 때문이다. 1997년 한국 내 미국인 직접 투자의 주식 가치가 65억 달러였고 2012년 말까지 미화 328억 달러로 증가했다(가용한 가장 최근 자료). 미국 내 한국인 직접 투자는 그보다 더 증가하였다. 1997년 미국 내 한국인 직접 투자의 총액은 미화 6억 달러로 평가됐고, 2013년 말 즈음에 미화 325억 달러로 증가했다. 외국인 투자는 그간 수년 동안 한미 관계에서 민감한 문제로 대두 되었다. 왜냐면 미국인 투자자들이 그간 남한 경제권 진출을 시도해왔기 때문이다. 미국인 투자자들의 비판은 예로 통신 부문과 같은 핵심 부문 외국인 투자에 대한 제한에 더해 지적재산권 보호가 미흡하다는 점을 꼽는다. (“지적 재산권” 절을 보라) 과거에 양국 간 규칙을 제정하려는 노력이 실패했다. 1990년대에 양국은 양자간 투자협정 협상을 시도했었다. 즉, 각 당사국이 다른 쪽 당사국의 투자에 대해 내국민 대우 부여함에 더해 다른 쪽 당사국의 외국인 투자에 대한 이행요건을 제기하지 않기로 약속한다. 그러나 동 협상은 국내 한국 영화에 대한 소위 스크린 쿼터에 대해 미국이 반대하고 한국 영화계의 스크린 쿼터 축소 및 폐지에 대해 저항하면서 대게 결렬되었다. (남한 정부는 2006년에 2월 한미 FTA 협상을 시작하기 직전에 스크린 쿼터를 반으로 줄였다.) 한미 FTA 투자 장에는 본래 양자간 투자협정에 들어갔을 법한 약정이 포함돼 있다.

한미 FTA는 남한과 미합중국이 다른 쪽 국가의 영토 내 한쪽 당사국 투자자들에 대한 대우와 일반적인 원칙을 적시했다. 2) 비차별적인 내국민 대우의 원칙이―한쪽 협정 당사국은 자국 투자자에게 부여하는 것보다 불리하지 아니한 대우를 다른 쪽의 당사국 적용대상투자 및 투자자에게 부여한다―그 무엇보다도 중요하다. 한미 FTA는 각 당사국이 내국민 대우의 원칙 적용에 예외 사항을 허용하고 있지만, 해당 예외 사항은 동 협정문 관련 부속서에 명시되어야만 한다. 3) 두 번째 핵심적인 원칙은 최혜국 대우이다—양 당사국은 다른 쪽 당사국 출신 투자자 및 투자에 대한 대우가 제 삼의 비당사국 출신 투자자에 대한 대우보다 불리하지 않게 처우한다. 세 번째 원칙은 대우의 최소기준인데, 그 말인 즉, 각 당사국은 공정하고 공평한 대우와 충분한 보호 및 안전 등의 국제관습법에 따른 대우를 적용대상투자에 부여한다.

한미 FTA는 적용대상투자에 대한 국가 수용에 대해 제한을 설정했는데― 수용 대상 투자가 공익을 목적으로, 비차별적 방식이어야 하며, 영향을 받는 투자자들은 신속하고 (공정한 시장 가치에 따른) 적절한 보상을 받게 된다. 또한, 한미 FTA 각 당사국 정부는 적용대상투자에 속한 금융 자본에 대해 자국 안팎으로 자유로운 송금을 허락하되 형사 범죄에 관계된 그런 경우에는 예외로 한다. 한미 FTA는 미국 및 한국 정부가 다른 쪽 당사국의 투자에 대해 이행요건(국내 재료 요건, 수출비율, 수입 제한 사항, 등등) 부과를 금지한다. 예로 자국의 특정 지역 고용 증대, 노동자 훈련 증진, 환경 보호 등의 사회적 목적을 달성할 요량의 의도적 조치에 대해선 예외를 허용한다. 본 협정은 특정 국적의 인물이 고위 임원이 맡도록 하는 요건을 역시 금지하지만, 이사회 다수가 특정 국가 출신이어야 한다는 요건은 허용한다.

미국이 체결한 다른 FTA와 유사하게 한미 FTA는 한쪽 당사국의 투자자가 다른 쪽 당사국 정부가 본인의 권리를 침해했다고 혐의를 제기할 경우 한미 FTA 아래에서 적용되는 투자자국가분쟁 해결을 위한 절차를 수립한다. 한미 FTA는 양국 당사자들이 협의 및 협상을 통해서 우선 분쟁을 해결해 보라고 규정한다. 그러나 만일 일이 잘 풀리지 않으면 본 협정은 “미합중국과 다른 국가 국민 간의 투자분쟁의 해결에 관한 협약”에 따라 부여되는 중재 절차 및 중재재판소 수립에 관한 사항을 제공한다.

미국국제무역위원회는 미국 투자자 특히 금융서비스 부문 투자자들이 한미 FTA로 이득을 본다고 결론지었다. 4) (”금융 및 다른 서비스 산업” 절을 보라) 미국은 외국인 투자 측면에서 지배적 당사국이었고 한미 FTA가 제공하는 보호로 인해 가장 얻을 게 많은 상태다. 그러나 미국 내 한국인 투자도 증가세이므로 남한도 마찬가지로 혜택을 볼 수 있다.


지적 재산권




한미 FTA에는 의약품 제조 부문에 덧붙여(상술한 내용을 보라) 한미 무역에 한해 지적 재산권 보호에 관한 다른 조항도 포함되어 있다. 한미 FTA 아래에서 미국과 한국은 세계무역기구의 무역 관련 지적 재산권에 관한 협정과 여타 지적재산권에 관한 국제 협정 및 협약에 따른 약정을 재확인한다. 그러나 양국은 그러한 협정 이외의 아래 조항에 딸린 지적재산권에 대해 공약하였다.


  • 각 정부는 다른 쪽 당사국의 지적재산권 보유자에 대해 내국민 대우 적용이 요구된다.5)


  • 지적재산권에 관한 규제 및 법률의 공시를 통한 투명성이 요구된다;


  • 상표권의 보호 및 등록을 촉진하고 지리적 표시의 이용에 관한 제한을 확립한다.


  • 저작권이 있는 제품의 사용을 결정하기 위해 창작자의 권리와 녹음을 하는 제작자, 실연자의 권리를 담보한다;


  • 70년 이상 저작권 보호가 요구된다; 그러므로 남한은 미국 저작권자의 목표였던 해당 저작권 보호 기간을 연장하기로 합의했다.


  • 불법 복제에 맞서 저작물을 보호하고, 불법 복제물과 모조품의 압수와 파괴를 비롯해 불법 복제를 사주하는 자들에 대한 처벌 조치를 제공한다.


  • 인터넷상의 저작권 있는 공연을 보호하며; 그리고


  • 위성이나 케이블 신호상에 암호화된 프로그램을 보호한다.



노동자의 권리




2007년 5월 10일 미 의회 지도자와 부시 정부 인사들로 구성된 초당적 모임은 한미 FTA를 비롯해 계류 중인 FTA에 포함될 문안을 제시하는 성명을 발표했다. 그중에서 성명 혹은 뼈대로 불릴만한 “미국의 신 통상 정책”은 미국 자유무역협정의 당사국에 대해 한미 FTA 아래에서 다섯 가지 기본적인 국제 노동 기준을 적용한다는 확약이 요구된다. 6)어떤 쪽의 당사국도 양국 자유무역협정 당사국 간 투자 혹은 무역에 영향을 끼칠 만한 방식으로 다섯 가지 노동권을 반영하는 자국의 노동 법령을 포기하거나 혹은 훼손하지 않는다. 각국은 각자 자국 노동법에 영향을 받는 사람들이 해당 법률에 따라 그들의 권리를 적용할 중재판정부 접근성을 보장한다. 전임 미국 무역대표부 론 커크는 그의 임명제청 과정 중에 한미 FTA는 (미 의회의) 5월 10일 합의를 적절하게 포함토록 한다는 오바마 정부의 입장을 언명하였다.7)

한미 FTA에 근거해 양국은 각 노동부와 기관 소속 관리로 구성된 노동협의회를 결성하였다. 노동장 조항 이행을 논의하고 관련 문제에 대해 대중이 함께 참여할 수 있는 포럼을 제공하기 위해 2013년 3월 18~19일 제1차 한미 FTA 노동협의회에서 만났다. FTA에 따라 노동 문제 관련 분쟁 사안들은 일단은 협의를 통해 해결될 것이지만, 협의 실패 시 양 분쟁 당사국은 문제를 노동자문위원회로 가져갈 수 있으며 만일 해당 메커니즘이 분쟁 해결에 실패한다면 문제를 분쟁조정심의기구로 넘어간다. 한미 FTA는 노동 협력 메커니즘 수립 역시 주문하고 있으며, 그에 따라 양국이 각국의 노동권에 속한 분야에서 협력과 발전을 기할 예정이다.

많은 외부 관측통의 눈에는 남한의 노동권 정책이 일반적으로 정규직 노동자의 경우 강하다고 간주한다. 정규직 노동자의 고용 보호 측면에서 경제협력개발기구의 30개 회원국 중에 상위 세 번째에 속한다. 8) 실제 수년간 미국 다국적기업의 주요한 불만 중에 하나는 남한 노동 시장의 제한 사항이며 예로 의무적인 퇴직금은 한국 내 사업 및 투자 비용을 상당히 상승시킨다. 반면에 미국 노동계 대표들은 최근의 변경 사항으로 남한 노동 시장이 더 유연해지면서 남한 노동자의 권리가 축소되고 있다고 주장한다. 9) 한국의 노동조합들은 노동 운동으로 정평이 나 있다; 파업 손실 작업일 수가 경제협력개발기구 안에서 가장 높은 부류에 속한다. 예들 들면, 현대 자동사는 1994년 이래로 매년 파업을 경험하고 있다. 게다가 한국 내 파업은 폭력이 수반되고 작업장과 공공장소를(예로 고속도로) 점거하고 이에 정부는 종종 경찰력으로 대응한다는 점에서 주목할 만하다. 무역정책과 무역협상을 위한 미국 노동자문위원회의는 한미 자유무역협정에 대한 논평에서 한국이 “노동 기본권을 행사한” 약 200명의 조합원을 구속함에 더해 노동조합 활동에 맞서 폭동진압경찰을 동원한 점에 대해 한국을 비판했다.10)

한국의 인력 풀은(가용인력) 두 부문으로 나뉜다: (1) 남한 “봉급쟁이”는 (대기업에서 봉급을 받는 인력, 남성이 대세) 노동력의 삼 분의 일에도 못 미친다. 이 부문 노동자 중 절반을 강력한 노동조합이 대변한다. (2) 나머지 부분에 속한 노동자들은 영세 기업에 고용된 사람, 남한의 임시직, 일용직으로 구성된다. 이들 노동자의 극소수만이 조합에 가입되어 있다. 임시직 비율이 그간 현저하게 증가해 노동력의 거의 삼 분의 일에 달하며, 세계 선진공업국 안에서도 그 비율이 가장 높은 국가 중 한 곳이다. 11) 이러한 노동자들은 낮은 임금을 받고 제한적으로 사회 안전망의 보호를 받는 경향이 있다. 이 대목이 미 노동자문위원회가 강조하는 부분이다. 노동 시장의 경직성은 악명 높다.

Foreign Investment




Foreign investment is becoming an increasingly significant element in the U.S.-South Korean bilateral economic relationship. Over the past decade, the stock of U.S.-South Korean foreign direct investment (FDI), valued on an historical cost basis, has increased substantially, due in no small part to the market-oriented reforms South Korea undertook after its 1997 financial crisis. In 1997, the value of stock of U.S. FDI in South Korea was $6.5 billion and increased to $32.8 billion by the end of 2012 (latest data available). South Korean FDI in the United States has increased even more substantially. In 1997, the stock of South Korean FDI in the United States was valued at $0.6 billion and had increased to $32.5 billion by the end of 2013. 12)

Foreign investment has been a sensitive issue in U.S.-South Korean relations for many years as U.S. investors have tried to make inroads into the South Korean economy. U.S. investors’ criticisms have included restrictions on foreign investment in key sectors, such as communications, and the lack of adequate protection for intellectual property. (See section on “Intellectual Property Rights.”) Efforts to establish bilateral rules have failed in the past. In the 1990s, the two countries tried to negotiate a bilateral investment treaty (BIT) that would commit each party to provide national treatment to the investments from the other party and abstain from performance requirements for foreign investments from the other party. But the negotiations collapsed largely over U.S opposition to South Korea’s so-called screen quota on domestic films and the latter’s resistance to lifting or reducing it. (The South Korean government reduced the screen quotas by half just before the KORUS FTA negotiations were launched in February 2006.) The KORUS FTA chapter on investment essentially contains the commitments that would otherwise have been in a BIT.

The FTA sets down general principles for the treatment by South Korea and the United States of investors and investments from one partner in the territory of the other. 13) The principle of nondiscriminatory national treatment—that one party to the agreement will treat covered investments and investors from the other party no-less favorably than it treats domestic investors and investments—is paramount. The FTA allows each party to make exceptions to the national treatment principle, but those exceptions must be specified in the relevant annexes to the agreement. 14) A second fundamental principal is most-favored-nation treatment (MFN)—the two parties agree to treat investors and investments from the other no less favorably than it treats investors and investments from third, non-party countries. A third principle is minimum standard of treatment, that is, each party shall accord to all covered investments treatment in accordance with customary international law, including fair and equitable treatment and full protection and security.

The KORUS FTA sets limits on government expropriation of covered investments—that they be only for public purpose and carried out in a non-discriminatory manner, and affected investors will be provided with prompt and adequate compensation (fair market value). It also requires each KORUS FTA partner-country government allow for the free transfer of financial capital pertaining to covered investments both into and out of the country with exceptions, such as cases related to criminal offenses. The KORUS FTA prohibits the U.S. and South Korean governments from imposing performance requirements (domestic content requirements, export-ratios, import limits, etc.) on the investments from the other. It will allow exceptions for measures intended to accomplish social objectives, such as to increase employment in certain regions of the country, promote training of workforce, and protect the environment. The agreement also prohibits a requirement that senior managers be of a particular nationality but will allow a requirement that the majority of board of directors be of a particular nationality.

Similar to other U.S. FTAs, the KORUS FTA establishes procedures for the settlement of investor-state disputes involving investments covered under the agreement where the investor from one partner-country alleges that the government of the other partner-country is violating his rights under the FTA. The FTA stipulates that the two parties should try to first resolve the dispute through consultations and negotiations. But, if that does not work, the agreement provides for arbitration procedures and the establishment of tribunals as provided under the “Convention on the Settlement of Investment Disputes Between States and Nationals of Other States.”

The USITC concluded that U.S. investors, especially investors in financial services, would likely gain from the KORUS FTA. 15) (See section on “Financial and Other Services.”) The United States has been the predominate partner in terms of foreign investment and stands to gain the most from the protections provided by the KORUS FTA. However, South Korean investments in the United States are increasing, and therefore, South Korea could benefit as well.


Intellectual Property Rights




In addition to those sections addressing pharmaceutical manufacturing (see discussion above), the KORUS FTA contains other provisions on intellectual property rights (IPR) protection in U.S.- South Korean trade. Under the FTA the United States and South Korea reaffirm their commitments under the WTO Trade-Related Aspects of Intellectual Property Rights (TRIPS) agreement and other international agreements and conventions on intellectual property. But the two countries made IPR commitments beyond those agreements with provisions that


  • require each government to extend national treatment to IPR holders from the other country; 16)


  • require transparency through the publication of regulations and laws regarding intellectual property rights;


  • facilitate the registration of and protection of trademarks and established limitations on the use of geographical indications;


  • ensure the right of authors, performers, producers of recordings to determine use of copyrighted products;


  • require copyright protection for no less than 70 years; thus, South Korea agrees to extend its copyright protection term, an objective of U.S. copyright holders;


  • protect copyrighted material against piracy and provide penalties for those who abet piracy including the seizure and destruction of pirated and counterfeit products;


  • protect copyrighted performances on the Internet; and


  • protect encrypted programming over satellites and cable signals.



Worker Rights




On May 10, 2007, a bipartisan group of congressional leaders and the Bush Administration released a statement that provided language to be included in pending FTAs, including KORUS FTA. Among other things, the statement, or framework, called “The New Trade Policy for America,” requires U.S. FTA partners to commit to enforcing the five basic international labor standards and would require that the commitment be enforceable under the FTA. 17) Neither country is to waive or otherwise derogate from its labor statutes that reflect the five labor rights in a manner that affects trade or investment between the two FTA countries. Each country is to ensure that those affected by their respective labor laws have access to tribunals that enforce their rights under those laws. During his nomination process, former-USTR Ron Kirk stated the Obama Administration’s position that the KORUS FTA appropriately incorporates the May 10th understanding. 18)

Under the KORUS FTA the two countries formed a Labor Affairs Council made up of officials from the respective labor ministries and agencies. The council first met March 18-19, 2013, to discuss the implementation of the Labor Chapter’s provisions and to provide a forum to engage with the public on related issues. Disputes regarding labor matters under the FTA are to be resolved first by consultations, but if those fail, the parties in dispute may take the matter to the Labor Council and eventually to a dispute settlement panel if these mechanisms fail to resolve the dispute. The KORUS FTA also calls for the establishment of a Labor Cooperation Mechanism whereby the two countries would develop and work in areas pertaining to labor rights in each country.

To many outside observers, South Korea’s labor rights regime is generally considered to be strong for regular workers. South Korea ranks in the top third of the OECD’s thirty members in terms of employment protection for regular workers. 19) Indeed, for years, a major complaint of U.S. multinationals is that restrictions in the South Korean labor market, such as mandatory severance pay, significantly raise the cost of investing and doing business in Korea. In contrast, U.S. union representatives argue that recent changes to make South Korean labor markets more flexible are reducing the rights of South Korean workers. 20) Korea’s unions have earned a reputation for activism; the number of working days lost to strikes is regularly among the highest in the OECD. Hyundai Motors, for instance, has experienced a strike every year since 1994. Moreover, strikes in South Korea are notable in that they are sometimes accompanied by violence and the occupation of workplaces and public spaces (such as highways), to which the government often responds with police action. In its comments on the KORUS FTA, the Labor Advisory Committee for Trade Negotiations and Trade Policy (LAC), criticized South Korea for the imprisonment of around 200 unionists who were “exercising basic labor rights” and for mobilizing riot police against union activity. 21)

Korea’s labor pool is divided into two segments: (1) South Korean “salarymen” (salaried workers, overwhelmingly men, in large corporations) comprise less than one-third of the workforce. Over half of this segment of the workforce is represented by powerful unions. (2) The remainder of the workforce is comprised of employees in small-scale firms plus the country’s temporary and day laborers. Few of these workers are unionized. The proportion of temporary workers has grown markedly, to nearly one-third of the workforce, one of the highest rates in the industrialized world. 22) These workers tend to receive low wages and receive limited coverage by the social safety net, points highlighted by the LAC. Labor markets are notoriously rigid.

한미 FTA는 각 당사국이 기본원칙 및 권리에 관한 국제노동기구 선언과 그 후속 조치(1998년)(국제노동기구선언)에 기술된 국제적으로 인정되는 5가지 노동권을 채택하고 유지하도록 요구한다. 동 선언 19.2조는 결사의 자유, 단체교섭권의 실질적인 인정, 강제적 또는 강요에 의한 모든 형태의 노동 철폐, 아동 노동의 실질적인 폐지, 그리고 고용 및 업무상의 차별 철폐 등을 기술한다. 이러한 노동권의 골격은 7대 주요 다자간 환경 협정을 준수할 것을 요구하며 이러한 약정은 한미 FTA 아래에서 강제력을 띈다. “미국 무역 정책”은 부시 대통령이 2007년 4월 1일에 의회에 한미 FTA를 체결하겠다는 의지를 통지한 이후에 완성됐지만, 이는 6월 30에 체결하기 앞선 시점이다. 애초 남한 당국자들은 해당 문안 추가에 대해 주저했지만, 결국엔 그렇게 하기로 합의했다. 나중에 양측은 협상을 벌였으며 2007년 6월 30일에 체결한 최종 협정문에 해당 문안을 포함하였다.

The FTA would require each Party to adopt and maintain five internationally accepted labor rights that are contained in the ILO Declaration on Fundamental Principles and Rights at Work and Its Follow-Up (1998) (ILO Declaration) Article 19:2 specifies these rights as the freedom of association, the effective recognition of the right to collective bargaining, the elimination of all forms of compulsory or forced labor, the effective abolition of child labor and the elimination of discrimination in respect of employment and occupation. The framework also requires FTAs to adhere to seven major multilateral environmental agreements and for this commitment to be enforceable under the FTA. “The Trade Policy for America” was completed after President Bush notified Congress on April 1, 2007, of his intention to sign the KORUS FTA but prior to the signing on June 30. At first, South Korean officials balked at opening negotiations to add the language but eventually agreed to do so. After, the two sides held negotiations, they included the language in the final text that was signed on June 30, 2007.
